Stephenson Harwood advises China Post Hong Kong on merger with Tran Goods

Law firm Stephenson Harwood has advised China Post Hong Kong Limited (‘CPHK’) on its recent vertical amalgamation with Tran Goods (Hong Kong) Limited (‘Tran Goods’) under the Companies Ordinance, Chapter 622 of the Laws of Hong Kong.

CPHK is a leading integrated postal and logistics services provider in Hong Kong, offering cross border delivery, freight forwarding, and supply chain solutions connecting the Chinese Mainland, Hong Kong and global markets. It is a key overseas platform of China Post, which operates one of the largest delivery networks in the world.

Tran Goods is a Hong Kong based logistics and freight forwarding enterprise with specialised capabilities in local transportation, cargo handling and operational support and is part of the China Post group.

This vertical amalgamation streamlines group operations, consolidates logistics and transport capabilities, and simplifies corporate governance and operational efficiency for the enlarged Chinese State-owned entity.

The firm provided advice on all aspects of the amalgamation, from structuring and documentation to regulatory compliance and filings.
