- Advising numerous PPP/PFI project companies within Civis's UK portfolio, including recently Worcestershire Hospital SPC Limited, Exchequer Partnership Limited, FocusEducation (Newcastle) Limited and Calderdale Hospital SPC Limited. The projects span a variety of sectors, including healthcare, education and government accommodation such as the HM Treasury Building.
- Advising numerous PPP/PFI project companies within other major portfolios, including Semperian, Connect Roads, Infrared, and Alba. The projects span a variety of sectors, including healthcare, education, government accommodation, transport and waste and renewable energy.
- Calderdale Hospital SPC Ltd - we advised this PFI project company on the reconfiguration of the entire site at Calderdale Royal Hospital. This is a complex redevelopment that includes new clinical buildings and a new multi-storey car park, as well as the need to deal with multiple stakeholders within a project finance framework.
- Supporting HLR Schools Limited on operational issues for the Priority Schools Building Programme.

In many ways, handback is the key issue facing PPP/PFI projects in the UK. Investors' experience of handback will impact both immediate returns for the ultimate institutional investor, and their likely attitude to the next wave of UK infrastructure opportunities.
Navigating this landscape requires specialist legal support. Our team has advised on some notable firsts, including the first prison to be handed back to the Ministry of Justice.
We regularly produce handback reports and participate in handback health checks, as well as lead negotiations with all the main players in the industry, often culminating in standstill or settlement agreements. Recent experience includes:
- Advised Semperian PPP Investment Partners on the acquisition of a minority stake in Merseyside Energy Recovery Holdings ("MERH"). MERH works with Merseyside Recycling and Waste Authority to manage and operate an energy-from-waste ("EfW") plant and transfer station. The electricity generated at the EfW facility supplies both heat and power to nearby users.
- Supporting an infrastructure fund on the acquisition of a wind farm.
