Jonathan helps global financial institutions and shipowners through every step of a transaction to successfully secure their financing needs. Having acted for arrangers, lenders, and shipowners, he understands the perspectives and priorities of all stakeholders involved.
His experience of finance and leasing transactions is extensive, covering bilateral and syndicated loans, term loan and revolving credit facilities, accordion facilities, green and sustainability-linked loans, tax-driven structured financings, re-financings and sale and leaseback structures. Jonathan has also advised on sale and purchase transactions, vessel deliveries, re-flaggings, re-domiciliations and chartering and cabotage trade arrangements.
Jonathan joined us as a trainee solicitor in our London office. He holds a first-class Bachelor of Laws degree from Durham University and obtained a distinction in the Legal Practice Course at BPP University. Jonathan is a qualified solicitor in England and Wales and now practices as a Registered Foreign Lawyer in Singapore.
Tax-driven financings
Advised lenders and borrowers on tax-driven financing structures, including a syndicate of three international banks on a US$148.57 million Japanese Operating Lease with Call Option (JOLCO) financing of four newbuild bulk carriers for a Singapore shipowner.
Pre-and post-delivery financings
Advised financial institutions on structured pre- and post-delivery financings, including a syndicate of eight international banks on a facility made available to a Korean shipping company for the construction and acquisition cost of nine dual-fuel containerships with an aggregate contract price of over US$1.1 billion.
Sustainability-linked loans
Advised financial institutions and shipowners on sustainability-linked loans, including a French bank on a US$32.34 million sustainability-linked JOLCO financing of two bulk carriers for a Taiwanese shipowner with a KPI linked to the reduction of fleet emissions.
Revolving credit facilities
Advised financial institutions on revolving credit facilities, including a syndicate of two Nordic banks on a US$225.77 million revolving credit facility with an accordion feature made available to a Hong Kong shipowner to refinance twenty-one dry bulk carriers.
Sale and leaseback transactions
Advised lessors and lessees on leasing transactions, including a gas transport and offshore wind company on the sale and leaseback of three newbuild dual-fuel ammonia ready LPG carriers.
Sale and purchase transactions
Advised buyers and sellers on vessel sale and purchase transactions, including a Singapore shipowner on the US$43 million purchase of two product tankers and a New Zealand transport and logistics company on the acquisition of a ROPAX ferry for EUR€55 million.
