Navigating contractual waters – key insights from a commercial court ruling on a yacht design dispute
The Commercial Court has recently decided the case of Winch Design Limited v Carl Le Souef & Somnio Superyachts Pty Limited, which will be of particular interest to those in the commercial and yacht design sectors, but that has wider implications for any companies that negotiate and communicate with more than one principal in a transaction, particularly where one of those might be a start-up company and/or an individual in the process of developing their own project. Here, the Court found that the contract was with the project developer, not the latterly incorporated entity. Further, the ruling reinforced that payment obligations can stand independently of the completion of the contracted services and highlighted the inadmissibility of extraneous evidence if a party is seeking to argue that a contract has been varied. This decision underscores the necessity for precise documentation, ensuring all intended contractual parties, and their respective rights and obligations, are clearly identified.
