Stephenson Harwood advises Almaviva Santé group on distressed acquisition

Law firm Stephenson Harwood LLP has advised the Almaviva Santé group on its acquisition of the Sainte-Marguerite clinic.

Almaviva Santé is a major player in the private healthcare sector; the Sainte-Marguerite clinic is a private hospital in Hyères, on the French Riviera. The transaction was approved by the Commercial Court of Toulon as part of French judicial receivership proceedings.

With this acquisition, Almaviva Santé – which generated consolidated revenues of €618.7 million in 2024 and employs 5,500 people – has prevented the definitive closure of the Sainte-Marguerite clinic, preserving up to 160 jobs. It has also secured significant real estate by purchasing the freehold of a key clinic serving the Hyères area.

"We were pleased to be able to help our clients achieve a successful outcome in this complex matter," said Alexandre Koenig, Partner, Stephenson Harwood. "By leveraging our expertise across Restructuring & Insolvency, Employment, Corporate, Real Estate, and Competition, we were able to provide the comprehensive and holistic advice needed to complete a transaction of this type."

The Stephenson Harwood team was led by Restructuring & Insolvency Partner Alexandre Koenig, who was supported by Associates Lauriane Chauvet and Martin Cormont. Additional advice was provided by Employment Partner Isabelle Dauzet and Managing Associate Victor Dehan; Corporate Partner Guillaume Briant and Managing Associate Ali Hilass; Real Estate Partner Gaëtan Rogeau; Competition Partner Jean-Julien Lemonnier and Of Counsel Laetitia Ghebali; and IP Tech & Data Partner Elise Dufour.
