- Represented the mandated lead arrangers on the US $612 million financing of the Shams 1 solar power project at Madinat Zayed, United Arab Emirates.
- Advised on the £100 million financing of 18 photovoltaic power plants and on the finance aspects of the acquisition of three solar projects, totalling nearly 54MW, making the client’s portfolio the largest among all LSE-listed renewable energy funds.
- Advised the Government of Uzbekistan on the initial development of the ADB solar programme, including advice on expression of interest documentation, use of new PPP law, and analysis of IFC scaling solar PPA.
- Supported the sponsors on the first four rounds of the Renewable Energy Project Development Office (REPDO) in the Kingdom of Saudi Arabia now being run by the Principal Buyer.
- Represented a consortium of senior lenders in €460 million funding for the €655 million construction and operation by Nobelwind of a 165 megawatt offshore wind farm located off the Belgian coast.
- Advised on the acquisition of a stake in the Gwynt y Môr offshore wind farm (567 MW), including all consenting and regulatory issues.
- Advised JERA on its investment in a floating offshore wind development project in France, including joint venture and shareholder arrangements, and French foreign investment law issues.
- Assisted the sponsors on the Calderdale Wind Farm, which is the largest on shore wind farm under development in the UK.
- Advised EDF energy on the disposal of a majority stake in five operating wind farms in the UK to Greencoat for £98 million.
- Advised on the development and financing of the €1.1 billion wind farm development in the Czech Republic.
- Represented Neoen (the developer and borrower) in respect of the development and financing of an 81MW wind farm in Finland, the first of Neoen’s assets in Finland.
- Advised Bank of Tokyo Mitsubishi, Royal Bank of Canada and BNP Paribas on the financing of a 200 MW portfolio of operational and to-be-constructed wind farm projects in the UK, France and the Republic of Ireland.
- Advised a German electrolyser manufacturer and supplier in respect of:
- framework supply agreement with major European green hydrogen/renewables developer;
- equipment supply agreement to e-fuels project in Europe; and
- equipment supply agreement to green hydrogen project in Finland.
- Advised Protium Green Solutions, a full value chain green hydrogen energy solutions provider on various matters, including:
- first commercial hydrogen sale (also one of the first commercial green hydrogen sales in the UK);
- £40.5 million fundraising, the largest funding round that has been secured for a green hydrogen energy firm in the UK, as well as its recent series B funding round;
- o c.£40 million green hydrogen project with Anheuser-Busch InBev, the world's largest brewer, looking to decarbonise its brewing facilities in Wales; and
- o its UK Government-supported project providing an end-to-end H2 solution to regional airports, targeting aircraft with a capacity of 9-19 passengers and a range of around 500 miles, including advice on the construction and offtake agreements for one of the first UK green hydrogen production facilities.
- Advised Corre Energy on its pre-construction financing from Infracapital for a green hydrogen 320 MW compressed-air energy storage facility and £15 million revolving credit facility with Santander for the purchase of new grid scale battery storage facilities.
- Advised a major US-based electrolyser supplier with respect to the supply of electrolysers to be used in multiple green hydrogen projects to be constructed in Germany by RWE, Austria and Oman.
- Advised a European green hydrogen producer on the policy and commercial considerations when negotiating hydrogen supply arrangements with a third-party offtake facility for several mobility applications.
- Worked with the Global Battery Alliance (part of the World Economic Forum) to publish a regulatory analysis paper on the re-use, repurposing, and recycling of batteries, including lithium ion batteries.
- Advised Corre Energy on its pre-construction financing from Infracapital for a green hydrogen 320 MW compressed air energy storage facility and £15 million revolving credit facility with Santander for the purchase of new grid scale battery storage facilities.
- Acted for Gore Street Energy Storage Fund on the oversubscribed fundraising for London's first listed energy storage fund. Supported the transition to low carbon power through its investments in a diversified portfolio of utility scale energy storage projects.
- Advised NextGen AssetCo Limited, a 50:50 joint venture vehicle established by Hitachi Rail Limited and FirstGroup plc, on the hybrid project financing of up to 1,000 electric bus batteries valued at c.£100 million.
- Advised Schroders Capital on its £20 million partnership with Be.EV for the installation of 200 ultra-rapid EV charging bays across 22 major retail and leisure properties throughout the UK.
- Advised VW with respect to legal and regulatory arrangements for the roll out of its UK electric vehicle charging infrastructure, including advice with respect to joint venture arrangements with Centrica.
- Advised Zenobe Energy on contracts for the provision of charging infrastructure and batteries, including a framework services agreement for over 150 electric buses and on £20 million receivables financing with NatWest.
- Advised the North London Waste Authority (NLWA) on the North London Heat and Power energy recovery project, a £799m contract to build the largest EfW project in Europe. The EfW has been designed to be carbon capture ready, and we are now advising NLWA on the implementation of its strategy to deliver a carbon capture transportation and storage facility.
- Advised ECO2 and its partners on the development and disposal of two major UK biomass projects: the 40 MW Port Clarence facility (sold to Glennmont Partners, now Nuveen Infrastructure) and the 44 MW Snetterton plant (sold to Copenhagen Infrastructure Partners, PensionDanmark, and BWSC), with a combined transaction value of £320 million.
- Advised Encyclis on a strategic partnership with Green Investment Group/Macquarie to develop, fund, and own EfW projects in the UK and Ireland, including investments in facilities at Earls Gate, Rookery South, Newhurst, and Protos.
- Advised the Government of Uganda in the negotiation and implementation of the power purchase arrangements for the 225 MW Bujagali hydroelectric project.
- Advised Statkraft on the acquisition of the Rheidol hydro-electric power station in Wales (50MW).
- Advised Enerjisa Enerji A.S with respect to the portfolio financing of a number of renewable, hydro and thermal assets located in Turkey, including drafting and negotiation of a trading strategy for the assets.
- Advised InfraCo Africa Limited on the procurement of an EPC contractor for the Western Power Hydro Project in Zambia. The Ngonye Falls Hydroelectric Scheme on the Zambezi River in the Western Province of Zambia comprises a 40-60MW run-of-river hydroelectric station.
- Advised a market leading commodities trader on its South American reforestation projects. including advising in connection with the financing and sale and purchase of carbon credits on the voluntary market and the related security arrangements.
- Advised on a US$1.3 billion project finance structure for Yinson Production’s FPSO, designed with carbon capture technology to reduce emissions by 27%.
- Advised Spectainer on its collapsible shipping container business (including advising on the creation of new carbon credits from the reduction in emissions through the use of its containers).
