Law firm Stephenson Harwood LLP has advised longstanding client Civica on its acquisition of OLM Systems, a leading provider of cloud-native social care management solutions in the UK.
Acquired by Blackstone in May 2024, Civica is one of the UK’s leading public sector software providers and a global GovTech champion focused on developing critical cloud-based software and services that support the everyday lives of people worldwide. From central and local government to education, health and care, more than 6,000 customers partner with Civica, using its software to deliver critical services to more than 100 million people.
OLM Systems, a leading provider of cloud-native social care management solutions in the UK, is dedicated to making a positive difference to people’s lives nationwide. At the heart of the deal is ECLIPSE, OLM’s market-leading social care management platform, which supports both adult and children’s services, as well as education and third-sector organisations, helping deliver a more holistic approach to care.
This strategic acquisition expands Civica’s already extensive local government software portfolio and complements existing solutions across revenues and benefits, housing, financial and income management, legal casework, regulatory services and more. It is a key step in Civica’s continued growth and global expansion, as supported by Blackstone.
Jim Murray, Chief Corporate Development Officer at Civica commented “Stephenson Harwood has been a trusted advisor to Civica for many years. Their understanding of our business and deep sector knowledge was invaluable in helping us to navigate the complexities of this deal, ensuring a smooth and successful acquisition of OLM Systems.”
Private Equity Partner Lucy Thorpe led the Stephenson Harwood team, supported by Managing Associate Rajiv Kakkad and Associates Alicia Mueller and Jessica Martin. Additional support was provided by the Stephenson Harwood technology team, led by Sally Samadi, and supported by Managing Associate Nic McMaster, who assisted in the negotiation of the operational and technical separation to ensure a smooth carve out from the legacy group operations.
