Guillermo focuses on complex commercial litigation, dispute resolution and international arbitration, with experience in directors’ corporate liability, shareholder disputes, M&A related litigation and corporate law advisory matters.
Qualified in Spain, Guillermo assists partners and clients in Spanish court proceedings, international arbitrations, pre-dispute strategy and settlement negotiations.
He brings a clear, structured and analytical approach to legal disputes, combining research and legal precision with a practical understanding of clients’ commercial objectives.
Before joining Stephenson Harwood, Guillermo trained in the litigation department at Latham & Watkins and was an associate for two years at J. Almoguera Abogados, the Spanish disputes boutique founded by the partner Jesús Almoguera, which became Stephenson Harwood’s Madrid office.
Guillermo graduated with honours in Law and Philosophy from Universidad Complutense de Madrid and holds a Master’s in Corporate Law from the same university.
He is also a member of the Club Español e Iberoamericano del Arbitraje (CEIA).
International ICC arbitration on a post M&A dispute
Supported sole arbitrator Jesús Almoguera in an ICC arbitration concerning purchase price adjustment issues and alleged breaches of representations and warranties under a share purchase agreement.
International CIAM-CIAR arbitration
Contributed to the representation of a Spanish financier in an international arbitration arising out of a finance agreement, including legal research, drafting and preparation for cross-examinations. The tribunal upheld the client’s claim.
Enforcement of sponsor guarantees
Worked with partners representing major international hedge funds and European banks in high-stakes Spanish court proceedings concerning sponsor guarantees linked to toll road projects in Spain, including appeals before the Spanish Supreme Court and an application before the Spanish Constitutional Court.
Shareholders’ dispute in a listed company
Assisted partners in advising two private equity houses, as shareholders of an energy company, in a dispute with the company’s founders and certain partners. The matter involved out-of-court demands and settlement strategy and was resolved within a short timeframe.
Financer pre-dispute advice
Supported partners advising a litigation fund that acquired several copyright claims. We provided legal advice to the fund to protect its contractual and legal position and avoid litigation.
