Javier advises a broad range of clients navigating complex financial and corporate challenges, including domestic and international financial institutions, investment funds and corporate groups. He is particularly experienced in acting for both creditors and debtors in high-stakes transactions, bringing a sophisticated understanding of the competing interests at play in distressed and restructuring situations.
Javier's practice focuses on restructuring and insolvency proceedings, with significant expertise in the negotiation, drafting and challenge of restructuring plans under Spanish law, as well as advising on pre-insolvency and insolvency proceedings. He also advises on contentious matters, having appeared before the Spanish courts, and regularly supports clients on corporate and contractual matters, including acting as secretary to the board of directors of a number of companies.
Combining deep technical knowledge of Spanish insolvency and restructuring law with hands-on experience across the full lifecycle of distressed situations, Javier provides clients with clear, commercially focused advice at every stage of the process, from early contingency planning through to formal proceedings and enforcement.
Duro Felguera — restructuring plan
Advising on the restructuring of €c.1 billion of debt of Duro Felguera, one of Spain's leading engineering groups, through a restructuring plan under the Spanish Insolvency Act, including pre-insolvency proceedings initiated in December 2024 and judicial homologation before the Commercial Court of Gijón.
Yaba / Tikehau Capital — restructuring plan
Advising Tikehau Capital, the French alternative asset manager and principal creditor of Yaba — a Spanish e-commerce aggregator — on the restructuring of over €60 million of debt and the judicial homologation of a plan resulting in Tikehau's acquisition of control of the company.
Educa Borrás / Cheyne Capital — distressed acquisition
Advising on the restructuring and acquisition of Educa Borrás — one of Spain's most iconic toy companies — by British fund Cheyne Capital, through a debt-to-equity conversion and capital accordion operation following multiple pre-insolvency proceedings.
Grup Serhs — restructuring plan challenge
Successfully representing a creditor in the impugnation of the restructuring plan of Grup Serhs, a major Spanish tourism group, obtaining a ruling by the Commercial Court of Barcelona that the client's debt was not bound by the plan's measures, on grounds of unequal treatment between creditor classes.
Famosa / Giochi Preziosi — pre-insolvency proceedings
Advising in the pre-insolvency proceedings of Famosa, the Alicante-based toy manufacturer owned by Italian group Giochi Preziosi, including creditor negotiations with Santander, BBVA, CaixaBank and other lenders in connection with the refinancing of c. €50 million of credit facilities.
INV / Sherpa Capital — distressed asset acquisition
Advising on the court-approved acquisition by Sherpa Capital of the productive units of INV Protección and INV Sistemas — two of Spain's leading private security companies with over 30 years’ history — in a €c.20 million pre-pack transaction approved in the context of an insolvency proceedings. The structure included interim financing provided by Sherpa Capital to ensure operational continuity throughout the process, with the transfer of substantially all contracts, licences and c.90% of employees.
Insolvency qualification phase — €10.5 million claim
Successfully defending a client in the qualification phase (calificación concursal) of insolvency proceedings in which claims of €10.5 million were brought against them, achieving a full dismissal of liability.
Solar360 (Repsol / Telefónica JV) — board advisory
Acting as deputy secretary to the board of Solar360 de Repsol y Movistar, S.L. and Solar360 Soluciones de Instalación y Mantenimiento, S.L., the joint venture between Repsol and Telefónica for photovoltaic installation, providing ongoing corporate governance and commercial law advice over several years.
Bluevia (Telefónica) — board corporate advisory
Providing ongoing corporate law advice to the Board of Directors of Bluevia, a subsidiary of Telefónica, on corporate governance, board resolutions and general commercial matters.
Commercial litigation — high-value disputes
Representing clients before the Spanish civil courts in high-value commercial disputes, including acting for Hotelbeds — one of the world's leading B2B travel technology companies — in proceedings against a client for recovery of sums in excess of €1 million; and advising Alfico S.A., a subsidiary of the New Balance group, in defending a €45 million claim brought against it before the Spanish courts.
