Jonathan is a go-to adviser for lenders, borrowers, corporate trustees, and other stakeholders navigating complex finance transactions across Europe, the United States, Asia, and the Middle East. He brings sharp commercial insight and practical solutions to clients ranging from funds and joint ventures to corporates, banks and other financial institutions.

Known for his collaborative style and commercial acumen, Jonathan is a driving force in the firm’s Finance and Restructuring teams.  He has steered clients through market-leading bond and debt restructurings, innovative financings and high-profile distressed situations. Jonathan has played a pivotal role in building the firm’s Real Estate Finance practice acting on debt financings across the full range of asset classes and leads key relationships with NatWest Group, Leumi UK, QNB Group, SMBC and BACB plc.

Recent highlights include advising a group of lenders on a high profile back leverage transaction, supporting lender syndicates on distressed real estate and acting on a series of PBSA financing transactions. Jonathan is also recognised for his expertise in complex bond restructurings and for guiding corporate trustees through a range of enforcement and distress scenarios. Clients value his adaptability, commercial focus, and relentless commitment to delivering results.

Experience

  • Back leverage    

    Advised Leumi UK and Cynergy Bank on a complex back leverage facility made available to funds controlled by Martley Capital Group.

  • Langham Estate    

    Advised a 10-bank syndicate, comprising HSBC, NatWest, Helaba, Barclays, UBS, SMTB, SMBC, Santander, ICBC and Bank of China on the £750 million financing of the Langham Estate.

  • PBSA    

    Advised lenders on a series of high-profile investment and development PBSA financings.

  • Mailbox    

    Advised as senior and mezzanine lender, with Martley Capital Group as sponsor, on a flagship £65 million financing of The Mailbox, a mixed-use asset in Birmingham.

  • Fairhold    

    Advised a note trustee on contentious issues in the Fairhold securitisation and facilitating the compromise of claims and c. £1 billion restructuring.

  • Noteholder disputes  

     Advised a note trustee on putative defaults identified by activist noteholders and disputed by the issuer, navigating complex stakeholder dynamics and protecting trustee interests.

  • Debt restructuring    

    Advised corporate trustees on a range of high-profile debt restructurings (across two decades from landmark bond restructurings in the early 2000s, including Railtrack, Marconi, British Energy and TXU).

  • Consent solicitation    

    Advised a note trustee on a leading bank's invitation to its bondholders to tender perpetual bonds for cash and approve modifications enabling redemption - ensuring the trustee’s duties were fulfilled and its interests fully protected throughout.
