Joyce is a highly experienced corporate and regulatory lawyer with nearly three decades of experience advising the insurance industry across Asia. Her career spans both private practice and senior in‑house roles as general counsel, giving her a uniquely comprehensive understanding of the commercial, operational, and regulatory dynamics shaping the sector. Her expertise is consistently recognised by leading legal directories. 

Joyce advises a broad range of market participants, including insurers, reinsurers, and intermediaries operating across life and annuities, trade credit, marine, property and casualty, medical and health, and personal and corporate liability and indemnity lines. She supports clients throughout the full business lifecycle, including capital raising, greenfield licensing, mergers and acquisitions, post‑acquisition integration, digital transformation, outsourcing arrangements, business reorganisations, distribution arrangements, portfolio transfers, and product development.

  • Mergers & Acquisitions

    Advised an asset management investment firm on its acquisition (together with a technology conglomerate) of a strategic stake in a life insurance company, the first on-line digital life insurer in Hong Kong.

  • Insurance Portfolio Transfer

    Acted for a global reinsurer in its disposition of a portfolio of Hong Kong reinsurance business and assisted in preparation of documents for implementation of the portfolio transfer including loss portfolio transfer agreement and business transfer agreement, and obtaining the requisite approval from the Insurance Authority.

  • Corporate Reorganisation

    Advised a global insurance group on their Asia Pacific reorganization involving various carved out asset sales from overseas branches of a UK subsidiary to the US parent entity and related insurance licence application; jurisdictions included Thailand, Malaysia, Labuan, Singapore, Hong Kong, Mainland China, Taiwan, Japan, South Korea, Philippines, Australia, New Zealand and India. 

  • Regulatory Compliance

    Partnering with (re) insurers, designed and implemented compliance programs in line with the relevant regulatory requirements and industry best practices; focus areas of the compliance programs include anti-money laundering, OFAC, FCPA, anti-bribery, fraud detection and prevention, whistle-blowing, anti-discrimination, sales conduct, disciplinary proceedings, response to regulatory investigations, record retention, data privacy, cyber resilience. 

  • Regulatory Advisory Work

    Advised multinational (re)insurance groups on the full spectrum of insurance regulatory requirements, including supervisory and prudential rules, governance and risk management standards, sales conduct and product development obligations, data privacy and cybersecurity, consumer protection, securities regulation, trustees’ duties, intellectual property, anti‑bribery, AML and sanctions compliance, financial reporting, and ESG disclosure.

  • Corporate Governance

    Designed and implemented effective corporate governance structures for (re)insurers in compliance with the relevant regulatory requirements and industry best practices, for example, establishing board audit and compliance committees, enterprise risk management protocol, regulatory incident reporting and response system.

  • Risk Management

    Conducted assessments on behalf of insurance underwriters and intermediaries on inherent legal and compliance risks with regard to insurance business operations, developed strategies to mitigate the risks and recommended suitable remedial measures.

  • Regulatory Investigations

    Acted for insurance underwriters in their responses to investigations by the Insurance Authority for alleged breaches of the Insurance Ordinance.

  • Distribution Arrangement- Bancassurance

    Advised a leading international insurer on its bancassurance deal with a regional bank to distribute insurance to customers across Singapore, Hong Kong, Taiwan, Indonesia and China, with a key focus on digital distribution 

  • Licensing and Digital Distribution

    Advised a subsidiary of a leading Asian retail group in setting up its insurance agency business, and on its strategic partnership with general and life insurers in relation to the distribution of insurance products through its digital customer rewards platform, including drafting corporate agency agreements, referral agreements and sponsor agreements.
