Natania’s experience covers a wide range of cross-border bilateral and syndicated financings across the Asia-Pacific region. She regularly acts for financial institutions and borrowers in negotiating and general corporate banking transactions, term loans, revolving credit facilities, secured, unsecured and guarantee financings.
Prior to joining Stephenson Harwood, Natania trained and worked as an associate in a leading international firm and focused on general banking, fund financing matters and the drafting of private wealth documentation for various financial institutions.
Ship finance – Funding from a Chinese Bank
Acted for China Development Bank the construction financing of five vessels to bear the Singapore flag.
Ship finance – Release of existing security for Refinancing purposes
Acted for a group of outgoing lenders (Singapore and Indonesian banks. Including The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch and Sumitomo Mitsui Banking Corporation, Singapore Branch) in relation to the de-registration and release processes of Indonesian fiducia security, various pledges over shares and Liberian vessel mortgages.
General Finance – Bilateral Financing
Acted for Standard Chartered on a series of bilateral loan facilities (and subsequent amendment and restatement exercises) for real estate development in London:
a. a £10.6 million green term loan facility and subsequent amendment and restatement exercise to incorporate a PropCo / OpCo structure;
b. a £15 million green term loan facility and subsequent amendment and restatement exercise to incorporate changes in costs and timelines; and
c. a £14 million term loan facility,
including full due diligence and negotiation of transaction documents.
General Finance – Syndicated Financing
Acted for DBS Bank Ltd. and Deutsche Bank AG on a S$300 million bridging 6 months facilities agreement (as well as for subsequent refinancing) for a Singapore educational institution.
General Finance – Refinancing
Acted for Oversea-Chinese Banking Corporation on the refinancing of a £34.3 million term loan facility and a subsequent refinancing of a £1.1 billion term loan facility to English property developers involving limited partnerships, fund entities and other corporate entity structures. Involvement included drafting core finance documents, coordination with Jersey, Malaysian and English property counsels and handling of entire CP workstream.
Fund financing
Acted for Sumitomo Mitsui Banking Corporation on a US$300 million subscription credit financing involving Cayman and Luxembourg parallel fund co-borrowers and Hong Kong feeder fund entities, including negotiation and preparation of transaction documents and liaising with Cayman, Luxembourg and Hong Kong local counsels on full funds due diligence.
Private Wealth – Financial institution template documentation
Advised and acted for Maybank Singapore Limited on a simplification initiative to streamline its facility letter templates and related standard terms and conditions, including consolidating various asset-specific application forms and letters of offer into a consolidated document to allow for a credit facility to be secured by different asset classes in a seamless fashion. Involvement included drafting such templates from scratch based on existing bank offer letters and other documents.
