Stephenson Harwood advises Hong Kong AI business on reverse merger and NASDAQ listing

Stephenson Harwood's Hong Kong corporate team has advised YOOV Group on its proposed reverse merger and listing on NASDAQ.

YOOV Group is a Hong Kong-based business AI and automation platform that optimises business operations across different sectors using advanced AI techniques. Under this transaction, YOOV will be merged with NASDAQ-listed clinical stage biopharmaceutical company Aptorum Group and the existing business of Aptorum Group will be spun off.

This transaction involves complex deal structuring and challenging capital markets regulations. It is considered to be a 'reverse merger' as the shareholders of YOOV will control and own a majority stake of the combined company following the merger. Closing of this transaction is subject to, among other conditions, NASDAQ’s approval of the combined company’s initial listing application.

This transaction demonstrates Stephenson Harwood's capabilities in executing significant cross-border M&A deals, and aligns with the firm's focus on technology and life sciences sectors and the US.

Stephenson Harwood acted as Hong Kong legal adviser to YOOV Group in tandem with US legal adviser Barnes & Thornburg. This joint effort highlights the firm's ability to advise clients on US capital markets transactions. Hong Kong corporate partner Danny Kan led the Stephenson Harwood team, supported by associates Alvina Lau and Angela Ng.
