James Wong is a trusted advisor to high-profile securities brokerage firms, fintech companies, and multinational financial institutions. His expertise spans financial services and fintech regulation, helping clients navigate the complexities of securities, banking, asset management, virtual assets and payments regulations. James is known for his strategic insight and ability to craft innovative business models that stretch across overlapping financial regulatory regimes, often finding exemptions, as well as his ability to draft highly bespoke and technical documentation. 

He provides comprehensive support in regulatory compliance, financial product authorisation, and financial services compliance, assisting clients in obtaining necessary licences and authorisations. He also represents clients on commercial contract negotiations. 

James also advises multinational financial institutions in their lending and asset financing transactions.

    Complete revamp of Futu Securities' client-facing securities agreement to align with its new business processes and rapid expansion, including the launch of new products and services such as virtual asset trading, robo-advice and SPAC trading.  

  • Futu Securities International (Hong Kong) Limited - Collaboration with other financial institutions

    Structured and drafted bespoke documentation in respect of Futu's novel collaboration with a money lending firm and a payment company to launch co-branded credit cards where the credit limit was tied to the value of securities in the client's securities account. 

  • Airwallex Group - Advising a payment firm on the roll-out of a "Yield" product

    Drafted bespoke documentation for, and advised on novel regulatory issues spanning different financial regulatory regimes in relation to, the roll-out of Airwallex's (an international payments firm) "Yield" service that generates interest returns for its clients. 

  • Central Asian bank - Advising on the launch of a bank branch

    Advising a Central Asian bank on all aspects (including extensive cooperation with the Hong Kong Monetary Authority) of the establishment of its first overseas bank branch. The establishment would also represent the first bank branch opening from that jurisdiction for Hong Kong. 

  • PAO Bank - Providing comprehensive all-round legal support to a digital bank

    Providing comprehensive on-going legal support to the digital bank on various financial regulatory matters, including (i) the drafting of standard form loan documentation for various  loan products and offerings, (ii) giving advice on the Banking Ordinance and various Hong Kong Monetary Authority regulations, the Employment Ordinance and the Personal Data (Privacy Ordinance), and advising on industry initiatives such as the Multiple Credit Reference Agency framework. 

  • A global beverage company - Represented a global beverage company in its sponsorship of Kai Tak Sports Park

    Represented a global beverage company on becoming a strategic founding beverage partner and sponsor of Kai Tak Sports Park, including comprehensive negotiations on the terms of the collaboration.
