Jane Ng is a seasoned corporate partner and heads the Corporate Practice in Greater China.  She has over 30 years of experience in corporate finance and mergers and acquisitions transactions, broadly with a PRC and regional focus.

Her clientele includes listed companies and financial institutions, who rely on her for navigating regulatory and compliance challenges and executing complex strategic transactions. Jane's expertise spans across public and private M&A, sales and purchases of businesses and greenfield joint ventures.  She has also guided companies through initial public offerings and dual listings, notably China Life Insurance Company Limited. 

She is the trusted adviser to many listed companies in relation to Listing Rules compliance and general corporate and commercial matters, and counts Asia Standard Group, Alibaba and NBA amongst her clients. 

 

Extensive experience in corporate governance, company secretarial practices, employment and charities work complements her well-rounded practice.

    Cable & Wireless plc in relation to its US$38.1 billion takeover of Cable & Wireless HKT by Pacific Century Cyberworks.

  • China Life Insurance Company Limited – Advice on dual listing in Hong Kong and New York

    A PRC based insurance company on its dual listings in Hong Kong and New York.

  • Jiangsu Shagang Group – Advice on acquisition and subsequent merger

    Jiangsu Shagang Group on its acquisition of a 45% stake in Grange Resources Limited. Subsequently, Grange combined with Australian Bulk Minerals, a Shagang-controlled operator of an iron-ore mine in Tasmania, to create a new US$ 836 million Australian iron ore group.

  • Deutsche Bank – Advice on IT Outsourcing

    Deutsche Bank on the outsourcing of its IT division to Hewlett Packard.

  • China Minsheng Bank International - Advice on subscription of New Shares and General Offer

    A PRC bank-backed financial institution on its proposed subscription of new shares in Quam Limited and mandatory general offer.

  • Duff & Phelps – Acquisition of Zolfo Cooper

    Duff & Phelps, on its acquisition of the business of Zolfo Cooper (Hong Kong) Limited.

  • Bagelcode – Advice on acquisition of UK listed company

    Advising Bagelcode, Korean gaming company, on its acquisition of the social gaming assets of UK listed Jackpot Joy and Gamesys.

  • China Everbright – Investment in Hyalroute

    Acted for China Everbright in its investment into Hyalroute Communication Group Limited, a cable company in Cambodia.

  • Alibaba Group – Legal and Regulatory Advisory

    Advising Alibaba on a broad range of legal and regulatory matters in Hong Kong, including e-commerce, product sales, marketing, logistics, and compliance, as well as providing contract review and ongoing legal support to Alibaba.com, AliExpress, and Alibaba Group.

  • Asia Standard Hotel Group Limited – Advice on Privatisation

    Acted as the Hong Kong legal adviser to Asia Standard Hotel Group Limited on its privatisation by way of a scheme of arrangement which constituted a securities exchange offer.
