Since starting her practice in Dalian in 1999, Mingcui has been practicing law in Dalian and then Guangzhou. She is particularly well versed in both contentious and non-contentious matters concerning civil and commercial law as well as intellectual property law. Over the years, she has successfully represented numerous high-profile civil and commercial litigation cases and served as legal counsel for multiple companies.

Mingcui primarily specializes in providing litigation and non-litigation legal services related to the practical operations of non-performing asset management and disposal. This includes representing clients in bankruptcy and restructuring cases, handling litigation and enforcement proceedings, as well as conducting due diligence, offering legal advisory services, and participating in commercial negotiations for non-performing asset disposal, acquisitions, and investment financing matters.

  • CCAM NPL disposal, debt restructuring and enforcement

    Acted as lead counsel for China Cinda Asset Management (CCAM) Guangzhou Branch in handling multiple major non-performing loan (NPL) disposal projects, including debt recovery and disposal of bank asset portfolios, insolvency project, debt restructuring and recovery project, and debt enforcement and recovery against a series of companies.

  • Due Diligence in M&A projects

    Performed due diligence and provided PRC legal services in a number of cross-boarder M&A projects for clients like PINE TREE HOLDINGS LLC, Hong Kong Ceneric (Holdings) Limited, Winson Asia Ltd, Hong Kong New City Development Group Limited and so forth.

  • Bankruptcy administrator

    Acted as bankruptcy administrator for various entities including Guangdong Xinheli Equipment Supervision Co., Ltd., Guangzhou Yinhe Investment Co., Ltd., and Guangzhou Aquatic Products Group Co., Ltd.

  • Steering restructuring projects

    As special legal counsel for Southern Special Assets Investment (Guangzhou) Co., Ltd. and other institutions, led multiple corporate restructuring and special asset investment projects including Chaozhou Asia-Pacific Energy, Chaozhou Xingwang Shipping, Dongguan Shunfa Livestock, and Ningbo Xingwang Shipping. Successfully facilitated strategic cooperation with China Orient Asset Management and other partners to complete enterprise restructurings and risk resolution, while overseeing review of major asset investment plans and risk control measures.

  • Intellectual property

    Acted for Guangzhou Panyu Communication Investment and Construction Co., Ltd. in a copyright dispute with Guangzhou Wanwei Construction Engineering Consulting Co., Ltd. This case is selected as a landmark case of the year 2013 by the Supreme People's Court of PRC.

  • Commercial disputes

    Acted for China Cinda Asset Management Co., Ltd. Guangzhou Office in a dispute over pre-emptive right against Macau Xinhua Real Estate Construction and Trading Company, successfully resolving legal issues concerning the disposal of non-performing asset claims.
